This Terms and Conditions (hereinafter referred to as "Agreement") is a contract between you and NINE UNITED TAK CO., LTD. (hereinafter referred to as "Nine United" or "we") regarding your use of the Nine United application or website (hereinafter referred to as the "Application/Website"). Please read this Agreement carefully and be sure to fully understand the terms and conditions herein, especially those clauses that exclude or limit liability, and the clauses that states application of law and dispute resolution. In reading of the Agreement, if you are not agreeing to the Agreement or any of its terms, you shall immediately stop the registration. By clicking on the button with conformation of "I have read and agree to the Terms and Conditions of NI Official Application/Website", you will be deemed to a full acceptance of the Agreement and it constitutes a legally binding between both parties.

2.1 Information on the Application/Website

Nine United provides the information on the Application/Website as a service to you and other users of the Internet. Nine United makes no warranty or guarantee to the accuracy or reliability of the content on the Application/Website and other sites linked to it. Additionally, unless otherwise stated in the Agreement, we will not be liable for any damage, loss, cost or expense you incurred as a result of your inability to use or access the Application/Website. Unauthorized downloading and distribution of any copyrighted materials from the Application/Website and other websites linked to it without the permission of the copyright owner are strictly prohibited. Nine United reserves the right to make changes to the information contained in the Application/Website at any time, including but not limited to adding, updating, deleting some or all services without prior notice.

Unless otherwise specified, you shall assume that all materials you view and read on the Application/Website is copyrighted. No copying, reproduction, distribution, modification, publication, downloading, posting or dissemination of any kind is permitted without the prior written consent of Nine United or the copyright owner. You could only print copies of the Application/Website materials for your personal, non-commercial use, but may not remove or modify any copyright, trademark or other proprietary notices. Unless otherwise noted, all logos displayed on the Application/Website are owned by Nine United or its licensors, including the names used to identify our products and stores, such as HAY, &Tradition, Verpan, Frandsen, Flowerpot, Shuffle, System, Nine United, STUDIO 9, and corporate logo and badge of Nine United. Modification, distribution or use of materials protected by copyright or intellectual property law on the Application/Website for any purpose whatsoever constitutes a direct infringement to Nine United's intellectual property rights. The materials contained on the Application/Website is copyrighted, protected by worldwide copyright laws and treaties, and is intended for lawful use only.
If you wish to use the content on the Application/Website for purposes other than those stated above (including, but not limited to, adding the said content to other applications or websites), you should first contact us and obtain Nine United's consent. Otherwise, unless it is mandatorily provided by law, no entity or individual may unlawfully copy, reproduce, quote, link, capture or use the information of the Application/Website in any other way in whole or in part without the express and specific written permission of Nine United, Nine United then reserves the right to pursue its legal liability.

2.3 Separate agreements/business rules

Nine United will not warrant that the service on the Application/Website will be uninterrupted or error-free or that the information, software and other materials contained on or accessible through the Application/Website will be free of viruses, worms, Trojan horses or other harmful components. For your any loss, damage, expense, cost, delay or liability (including, without limitation, any economic loss, such as loss of profits) incurred due to any circumstances beyond our reasonable control (including, without limitation, any failure or errors on transmission, communication, computer or other equipment, or your inability to access the Application/Website for any reason, or any failure, error or delay in sending or receiving any notice, message or instructions by post or any electronic medium), we will not be liable on it.

2.5 Prohibitions on the Application/Website

When using the Application/Website, you may not:
(1) interfere with or disable any security-related functions of the Application/Website, or block or restrict the functions of the use or copy of contents accessible from the Application/Website;
(2) provide false information;
(3) embezzle the identity of any other individual or represent a person, entity or organization without permission;
(4) persist in using the Application/Website after we have suspended or banned you from using the Application/Website;
(5) send spam or repetitive information;
(6) engage in any illegal or unlawful conducts;
(7) tamper, interfere with, intercept, destruct or attack the Application/Website;
(8) knowingly introduce viruses, Trojan horses, worms, logic bombs or other similar programs, or improperly use the Application/Website that may harm the Application/Website and any equipment of its users, or adversely affect the browsing experience of any users of the Application/Website;collect any data from the Application/Website without complying with the Agreement;
(9) submit or provide any content that is abusive, threatening, obscene, untrue, uncivilized, vulgar, lurid or offensive;
(10) submit or provide any user content without the permission of its owner or infringe the copyright, trademark or other rights of third parties in other means;
(11) transmit or publish: comments that incites resistance to, or undermines the implementation of the Constitution, the laws and administrative regulations, comments that incites subversion of state power or overthrows the socialist system, comments that incites secession or undermines national unity, comments that incites ethnic hatred, ethnic discrimination or undermines ethnic unity.

If you violate any term of the Agreement, we may permanently or temporarily block your use of the Application/Website. We may also take other measures, including but not limited to reporting you to the police or other enforcement authorities, issuing warnings or prosecuting you, and claiming compensation from you for any costs we therefore incur.

2.6 Attribution of Rights

All comments, questions, suggestions, opinions, images, data or other information communicated directly to Nine United via the Application/Website or email will be proprietary to Nine United and will be treated as non-confidential, non-proprietary information. Any content you transmit, submit and post will also be unconditionally proprietary to Nine United and may be used for any purpose, including, but not limited to, reproduction, distribution, publication, broadcast and posting consistent with our Personal Information Protection Policy. In addition, Nine United is free to use the ideas, concepts, techniques and technologies contained in the information you send to the Application/Website for any purpose, including, but not limited to, developing, producing and marketing products using such information. Nine United will not be liable in any way for any similarities in its products, business and services to the information you send.

From time to time, we may mail you samples or gifts for the purpose of inviting you to participate activities conducted by the Application/Website and showing our appreciation for your interest in our products, or to redeem your membership points for products, etc.

3.1 Please understand that due to the frequency of system update, the style, model and stock of the samples/gifts you check on the Application/Website are for reference only, please referring to the actual shipping products. At the same time, we reserve the right to change the samples/gifts at any time without any prior notice.

3.2 If you find any damage to the samples/gifts upon receipt, please contact us promptly for replacement, repair, or modification, but we cannot guarantee if it will meet your needs.

3.3 Since we do not charge you for the samples and gifts, we do not guarantee the usage, suitability, usefulness, or economic value of our products, nor do we promise that the quality of our products will meet the uniform standards of the market.

3.4 You may not sell the samples/gifts for profit to any third party.

4.1 We will award you points and determine your membership level based on the number of followers you have on third party social media platforms, the quality and frequency of the content posted about Nine United on the Application/Website. With higher membership levels, you could enjoy more membership privileges, including exclusive events, higher discounts on products, more opportunities to redeem samples/gifts, etc.

4.2 We recommend you use your points in time. The points are valid for a certain period, and your original points will be reset to zero at the end of the period, which means you need to re-credit for the points.

If you are under the age of 18, you will need to be under the guardianship of your parent or guardian to use the Application/Website.

By accessing the Application/Website, you agree that the laws of the People's Republic of China shall apply to this agreement and to any dispute occurs through your use or access to the Application/Website.

Disputes of any kind relating to your access to the Application/Website or receipt of services from the Application/Website shall be submitted to the court with jurisdiction where we are located for litigation.
